Welcome to Pada Technologies Ltd. These Terms and Conditions ("Terms", "Agreement") govern your purchase and use of StaffPortal (the "Service", "Software", "SaaS Product"), a workforce management solution owned and operated by Pada Technologies Ltd ("we", "us", "our"), a company registered in Nigeria with its operational address at 37 Sunmola Street, Mende, Maryland, Shomolu, Lagos.
By ticking the box marked "I have read and agree to the Terms & Conditions" during the checkout process, you ("Customer", "Client", "User") represent that you are authorized to bind your organization to this Agreement, and you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not proceed with the purchase.
- Scope of Agreement and Productization
1.1. This Agreement applies to the "Productized Tiers" of StaffPortal purchased directly through our e-commerce store (e.g., StaffPortal Starter, Business).
1.2. For customized, enterprise-scale implementations requiring a custom quote, a separate, specific Service Level Agreement (SLA) may be required.
- Electronic Delivery and Provisioning
2.1. StaffPortal is a SaaS (Software as a Service) product. There is no physical delivery involved.
2.2. Upon successful payment confirmation, you will receive an automated order receipt.
2.3. Full provisioning of your private StaffPortal environment, including secure login credentials and admin setup, will typically be completed within 24 to 48 business hours. Access details will be delivered electronically to the email address provided at checkout.
- Fees, Payments, and Taxes
3.1. All prices listed on the e-commerce store are in Nigerian Naira (₦) unless otherwise specified.
3.2. Setup Fees: Where applicable, setup fees (e.g., for StaffPortal Starter) are a one-time, non-refundable charge for initial configuration and provisioning.
3.3. Subscription Fees: For tier-based subscriptions (e.g., StaffPortal Business), fees are billed in advance on an annual or monthly cycle.
3.4. Taxes: All stated prices are exclusive of Value Added Tax (VAT) as applicable under Nigerian law. This will be added at the current statutory rate during the final checkout calculation.
- Price Match and Refund Policy
4.1. Price Match Guarantee: In accordance with our advertised commitment, if you find a comparable, documented SaaS workforce management solution offering identical core features (Geofencing, Leave Management, Attendance Tracking, Payroll Support) at a lower advertised fixed price within Nigeria, Pada Technologies Ltd will review the comparison. If verified, we will offer a price match or refund the price difference.
4.2. General Refunds: Due to the non-tangible, provisioned nature of digital SaaS solutions, setup fees are generally non-refundable once provisioning has been completed. 4.3. Subscription Cancellations: You may cancel your subscription at any time. A refund for the remaining unused period will be processed on a pro-rata basis, subject to a reasonable administrative fee.
- Customer Data, Privacy, and Security
5.1. Data Ownership: The Client retains full ownership of all personnel and operational data entered into StaffPortal.
5.2. Data Usage: Pada Technologies Ltd is committed to the highest standards of data privacy. We will only access your data for technical support, performance monitoring, or when explicitly authorized by the Client. We will never sell or share customer data with third parties.
5.3. Data Security (Geofencing): The Client acknowledges that StaffPortal utilizes location-based geofencing. It is the Client's responsibility to ensure that employees are aware that this data is being collected solely for automated clock-in/out purposes and that it adheres to local privacy guidelines.
5.4. Nigeria Data Protection Regulation (NDPR): Both parties agree to comply with the relevant provisions of the NDPR (2019) regarding the handling of personal employee data.
- Acceptable Use and Restrictions
6.1. The Client agrees not to misuse, reverse engineer, decompile, or gain unauthorized access to any part of the StaffPortal SaaS infrastructure.
6.2. The Service must not be used for any illegal, harmful, or unethical purposes, including, but not limited to, fraudulent payroll activity or unauthorized surveillance.
- Intellectual Property
7.1. Pada Technologies Ltd retains all proprietary rights, including copyright, trademark, and patents, over the StaffPortal software and the Pada Technologies brand and logo. This Agreement grants the Client a limited, non-exclusive license to use the service; it is not a sale of the underlying software code.
- Limitation of Liability
8.1. STAFFPORTAL IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. To the maximum extent permitted by Nigerian law, Pada Technologies Ltd shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the service, including data loss or operational disruption, provided that the initial provisioning met the advertised specifications.
8.2. Our maximum aggregate liability shall not exceed the total amount paid by the Client to Pada Technologies Ltd for the Service during the preceding six (6) months.
- Modification of Terms
9.1. Pada Technologies Ltd reserves the right to modify these Terms at any time to reflect updates in software functionality or changes in Nigerian law.
9.2. Substantial changes will be notified to Clients via the email address on file or via an in-app notice. Continued use of StaffPortal after such notification constitutes acceptance of the new Terms.
- Governing Law and Jurisdiction
10.1. This Agreement and any dispute arising from it shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
10.2. The parties agree to attempt to resolve any dispute amicably through mediation. If resolution cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the competent courts within Lagos State, Nigeria.

- Service Level Agreement (SLA) & Uptime Guarantee
12.1. Uptime Commitment: Pada Technologies Ltd strives to provide a reliable service environment. We guarantee 99.5% monthly uptime availability for the StaffPortal platform, excluding scheduled maintenance.
12.2. Service Credits: In the event that uptime falls below the 99.5% threshold in any given month, Clients may be eligible for a Service Credit equivalent to 5% of that month’s subscription fee, applicable toward their next billing cycle.
12.3. Maintenance Windows: Scheduled maintenance (updates, security patches) will typically be performed during low-traffic hours (GMT+1). We will provide a minimum of 24 hours’ notice via in-app notification for any planned service interruptions.
- Data Sovereignty and Portability
13.1. Compliance: Pada Technologies Ltd adheres to the Nigeria Data Protection Act (NDPA). All employee data processed via StaffPortal is treated with the highest level of confidentiality.
13.2. The Right to Data Portability: Upon termination of this Agreement, the Client has the right to request a machine-readable export (e.g., CSV or Excel format) of all personnel and attendance records. Such requests must be made within 30 days of account closure.
13.3. Data Retention: Following the 30-day portability window, Pada Technologies Ltd reserves the right to permanently delete all Client data from our active servers, unless otherwise required by Nigerian labor laws or tax regulations.
- Subscription Renewals and Price Transparency
14.1. Automatic Renewal: To ensure uninterrupted service for your workforce, all subscriptions are set to auto-renew at the end of their term (monthly or annually) using the payment method on file.
14.2. Cancellation: Clients may disable auto-renewal at any time via their account settings or by contacting support at least 7 days prior to the renewal date. 14.3. Price Adjustments: Pada Technologies Ltd reserves the right to adjust subscription pricing to reflect platform enhancements or economic shifts. We guarantee a minimum of 30 days’ written notice to existing Clients before any price changes take effect for their next billing cycle.
- Force Majeure (Unforeseeable Events)
15.1. Pada Technologies Ltd shall not be held liable for any failure or delay in performance under this Agreement resulting from "Force Majeure" events beyond our reasonable control. This includes, but is not limited to: acts of God, national grid power failures, regional internet backbone disruptions, undersea cable cuts, civil unrest, or government-mandated telecommunications shutdowns.
- Ethical AI and Automated Insights Disclosure
16.1. Supportive Technology: StaffPortal utilizes AI-driven analytics to provide management insights, performance trends, and attendance forecasting.
16.2. Human Oversight: The Client acknowledges that these AI features are "Decision Support Tools." All final administrative and personnel actions including, but not limited to, disciplinary measures, salary adjustments, or terminations are the sole responsibility of the Client’s human management team. Pada Technologies Ltd is not liable for outcomes resulting from automated management suggestions.
- Declaration of Agreement
By completing a purchase and ticking the "I agree to the Terms and Conditions" box on the checkout page, I, the Client, hereby declare and warrant that:
- Authority: I have the legal authority to bind Pada Technologies to this Agreement.
- Understanding: I have read, understood, and voluntarily accept all terms, including the Refund Policy, Data Privacy measures, and Service Level Agreements.
- Compliance: I agree to use StaffPortal in compliance with all applicable Nigerian labor and data protection laws.
- Acknowledgment: I acknowledge that the digital provisioning of the software begins immediately upon payment confirmation and that this constitutes the commencement of service.

At Pada Technologies Ltd, we recognize that your data is a vital asset. This Privacy Policy outlines how we collect, protect, and manage the personal and organizational information of our Clients and their employees through the StaffPortal platform. We are committed to transparency and comply with the Nigeria Data Protection Act (NDPA) and the Nigeria Data Protection Regulation (NDPR).
- Data We Collect
To provide a comprehensive workforce management solution, we collect the following:
- Administrative Data: Name, business email, and phone number of the primary account holder.
- Employee Profiles: Staff names, unique 4-digit PINs, and job titles.
- Operational Data: Attendance timestamps, leave requests, and task performance metrics.
- Geofencing Data: Precise location coordinates recorded only at the moment of clock-in and clock-out to verify workplace attendance.
- How We Use Your Data
We use the information collected strictly for:
- Provisioning and maintaining your StaffPortal environment.
- Verifying attendance through secure geofencing parameters.
- Generating AI-driven management insights and performance reports.
- Providing technical support and security updates.
- We do not sell, rent, or trade your data to third parties.
- Data Security and Encryption
We implement industry-leading security protocols to protect your information:
- Encryption in Transit: All data sent between your devices and our servers is protected by SSL/TLS encryption.
- Encryption at Rest: Sensitive data, including employee records and PINs, is stored using AES-256 bit encryption.
- Access Control: Access to your private database is restricted to authorized personnel only, specifically for requested technical support.
- Geofencing and Privacy
We respect employee privacy outside of working hours.
- No Continuous Tracking: StaffPortal does not track real-time movement. It only captures a single location snapshot during the "Clock-In" and "Clock-Out" actions.
- Purpose-Driven: This data is used solely to ensure compliance with physical site attendance requirements.
- Data Subjects' Rights (NDPR Compliance)
Under the NDPR, your employees have the following rights:
- Right to Access: The right to request a copy of the personal data we hold.
- Right to Rectification: The right to correct inaccurate or incomplete information.
- Right to Erasure: The right to request the deletion of data (subject to legal record-keeping requirements).
- Right to Data Portability: The right to receive data in a structured, machine-readable format.
- Data Retention
We retain data only as long as your subscription is active. Upon termination of service, all data is held for a 30-day grace period to allow for final export, after which it is securely purged from our active servers.
- Cookies and Tracking
Our website uses essential cookies to manage your login session and shopping cart. These do not track your activity on third-party websites.
- Changes to This Policy
We may update this policy to reflect changes in Nigerian law or platform functionality. Major updates will be communicated via your registered admin email.

Refund and Cancellation Policy
At Pada Technologies Ltd, we strive to ensure our software meets the highest operational standards. However, as StaffPortal is a digitally provisioned service, the following terms apply:
- 1.1. Setup Fees: Any one-time setup or implementation fees (e.g., for the StaffPortal Starter tier) are non-refundable once the provisioning process has been initiated and login credentials have been issued.
- 1.2. Subscription Fees: We offer a 7-day "Satisfaction Guarantee." If you find that the platform does not meet the advertised specifications within the first 7 days of your initial subscription, you are entitled to a full refund of the subscription fee.
- 1.3. Post-7-Day Period: After the initial 7-day period, subscription fees are generally non-refundable. However, you may cancel your subscription at any time to prevent future billing.
- 1.4. Service Malfunction: If a major technical fault on our end prevents you from using the service for more than 48 consecutive hours (outside of scheduled maintenance), we will issue a pro-rata refund or service credit for the affected period.
